This Non-Exclusive Master and Composition Licensing Agreement (this “Agreement”) is made as of the Contract Date by and between Find Foreign Music, LLC (“FFM” or “The Library”), 1411 Broadway 4Fl, New York, NY 10018, and _________________________  (“You” or “Licensor”) as set forth in the Submission Schedule attached hereto as Schedule A whereby the parties agree as follows:

  1. Licensor hereby licenses certain Master(s) and Composition(s) to the Library. The Library shall have the non-exclusive right to exploit the Master(s) and Composition(s) solely in film, television, advertising, interactive media, and any other audio/visual media now known or later developed Licensor hereby licenses to The Library all rights and interest in the Master(s) and Composition(s) throughout the world for a period of ten (10) years. The Master(s) and Composition(s) hereby licensed are set forth in Schedule A hereto.  Nothing herein shall prevent Licensor from exploiting the Masters.
  1. Licensor waives all so-called "moral rights" or any equivalent thereof otherwise available to Licensor in connection with each Master and Composition. Without limiting the generality of the foregoing, The Library shall have the right to remix, edit, adapt, arrange and/or otherwise change the Composition(s) and the Master(s) as The Library may deem fit.
  1. In consideration of the foregoing, The Library will pay to Licensor the sum of $1.00 to be paid upon delivery to and acceptance by Library of the Compositions and Masters. This payment will be payment in full to Licensor.  Licensor acknowledges that Licensor shall not be entitled to any additional compensation from The Library, except as set forth in paragraphs 4 and 5 below.
  1. The Library shall pay to Composer fifty percent (50%) of the net domestic revenue (defined herein as gross domestic revenue less any taxes, legal fees, manufacturing fees, not to include artwork design, editing or finder’s fees paid by Library) received pursuant to the any synchronization license entered into by Publisher from such licenses in the United States. Said fifty percent (50%) shall be paid to Writer within sixty (60) days following March 31, June 30, September 30 and December 31 of receipt of such fees.
  1. Composer will receive one hundred percent (100%) of the so-called “writer’s share” of performance royalties directly from Composer’s performing rights society (ASCAP, BMI or SESAC). The Library will collect and retain one hundred percent (100%) of the “Publisher’s share” of performance royalties.
  1. I,                           (“You” or “Licensor”) warrant and represents that the Master(s) and Composition(s) shall be free from any claims by any other party.  Licensor indemnifies and holds harmless The Library for any claims or damages arising out of the Masters. They (i) are under no disability, restriction or prohibition, whether contractual or otherwise, with respect to their right to enter into this Agreement and license the rights licensed to FFM, and (ii) have all necessary rights and authority to enter into this Agreement and consummate the transactions contemplated hereby. Each Master and Composition provided to FFM hereunder and subject to this Agreement is owned and controlled by the Licensor, and no Person other than Licensor owns or controls, any of the Master(s) or Composition(s).  All of Licensor’s representations and warranties shall be true and correct upon execution of this Agreement and at all times during the Term.
  1. The Library shall have the right to assign this agreement and any rights hereunder; for the purposes of any such assignment The Library shall be deemed Licensor’s attorney-in-fact.
  1. If either party hereto alleges that the other has breached this agreement, then the other party shall have a period of thirty (30) days to cure such breach or, if such breach cannot be cured within thirty (30) days, then to commence such cure.
  1. This writing contains the entire understanding between the parties and supersedes any previous agreements between the parties. During the term of this Agreement, it is understood and agreed that there shall be no change or modification of this Agreement unless reduced to writing and signed by all parties hereto.  This Agreement shall be governed by the laws of the State of New York (without giving effect to any conflict of law principles under New York law), and subject to the sole jurisdiction of the Courts of the State of New York located in New York County.  Licensor waives any and all objections to venue in those courts and hereby submit to the jurisdiction of those courts.
